Bally must pay off its roughly $70 million in debt. The company can do that by either selling its German operations or restructuring that business and spinning it off to its shareholders in a way that rids the company of its debt.

If Bally sells the German business, called Bally Wulff, it must receive net proceeds of at least $55 million.
