The electronic paper will generate advertising revenue and, for now, no fee will be charged for basic access in the United States. T UTILITY MERGER Kansas City firms to join MARKETS UtiliCorp, Kansas City Power & Light reach $3 billion agreement By DOUG GLASS The Associated Press KANSAS CITY, Mo. — Faced with the prospect of tougher competition brought on by industry deregulation, UtiliCorp United Inc. and Kansas City Power & Light Co. Monday announced plans to merge in a $3 billion deal. The two Kansas City-based energy producers will have about 2.2 million customers and $6.4 billion in assets. Analysts liked the merger, saying KCPL's strong financial position fit well with UtiliCorp's aggressive marketing and acquisition strategy. Utility mergers have become more common as companies brace for further deregulation. By merging, utilities can spread their "This is truly a merger ofequals." Richard C. For example, UtiliCorp and KC- PL executives said they expected their merger to save $500 million over the next 10 years as duplicate systems are eliminated, facilities and processes are shared and workforces are combined. KCPL shareholders will get one share in the merged company for each KCPL share they own under the all-stock deal. UtiliCorp shareholders will get 1.096 shares for each of their UtiliCorp shares. "This is truly a merger of equals," said Richard C. Green Jr., UtiliCorp's chairman and chief ex- ecutive. KCPL provides electricity in Kansas City, eastern Kansas and western Missouri, while UtiliCorp sells electricity and gas in several parts of the United States, as well as Canada, Britain, New Zealand, Australia and Jamaica. KCPL chairman and chief executive Drue Jennings will serve as chairman of the merged company, while Green will be vice chairman and chief executive. The deal, subject to regulatory and shareholder approvals, is. expected to be completed within 18 months. Edward Tirello Jr., an analyst at NatWest Securities Corp. in New York, said each of the partners brings strengths to the merger. "Basically, Kansas City Power & Light brings a very strong balance sheet," he said. "UtiliCorp brings a very aggressive management in terms of expanding overseas and everywhere else."
