THE SALINA JOURNAL Money FRIDAY, OCTOBER 3, 1997 CB HUDSON FOODS IBP to begin operations in former Hudson plant 130 workers will return to plant that was shut down by ag officials By The Associated Press COLUMBUS, Neb. — Operations are scheduled to begin next week at the hamburger plant that was shut down after the nation's largest meat recall. IBP Inc. completed purchase of the plant Thursday from Hudson Foods Inc. IBP said it hired about 130 of the 230 people who had worked at the plant for Hudson and operations would begin at the plant next week under IBP's ownership and supervision. Hudson Foods agreed to shut .down the Columbus plant Aug. 21 after the recall of 25 million pounds of hamburger because of the threat of E. coli bacteria. IBP spokesman Gary Mickelson said the company expects the U.S. Department of Agriculture to issue a certificate of inspection for the plant by the end of the week, thereby allowing IBP to begin operations there. "We will institute the same standards for quality that we currently have at our other facilities, which more than satisfy USDA requirements," said David Layhee, IBP president of value-added ground meats. IBP announced plans to buy the plant Aug. 27. Terms of the acquisition were not disclosed. The plant was built two years ago by Arkansas-based Hudson primarily to produce hamburger patties for Burger King. The fast- food giant canceled its contract with Hudson after the recall. T WORLDCOM TAKEOVER BID WorldCom launches legal action Telecommunications group presses ahead with its $30 billion takeover bid for MCI By Scrlpps Howard News Service NEW YORK — WorldCom, the fast-growing telecommunications group, moved aggressively Thursday to press ahead with its $30 billion takeover bid for MCI Communications without the cooperation of British Telecommunications, its rival for control of MCI. By launching a legal action, WorldCom signaled that it would proceed regardless of the response from BT and MCI. However, the company also hinted it was open to some sort of three-way arrangement. WorldCom's all-stock offer Wednesday topped BT's agreed bid for the 80 percent of MCI it did not own. The fourth-largest long- distance operator in the U.S., WorldCom has expanded rapidly through acquisition into local services, particularly for the financial community, and the Internet. WorldCom said Wednesday it was keen to have three-way talks with MCI and BT, but its decision Thursday to file legal action against the companies has been seen by investors as a sign that WorldCom is moving to complete the deal as rapidly as possible, regardless of BT's reaction. "We are very happy to go forward on a friendly basis, but can also do this thing aggressively," said one source close to the transaction. The suit, filed in a Delaware court against MCI and BT, seeks to remove a "poison pill" designed to protect MCI from hostile predators. It also seeks to remove a $450 million termination fee that would be payable by MCI if it broke the terms of its agreement with BT. In London, BT shares rose again Thursday, bringing the two-day advance to more than 12 percent. This reflected the prevailing opinion that BT would use the WorldCom offer to extract itself from MCI, perhaps using the proceeds of selling its 20 percent stake to return capital to shareholders. But British institutional investors and analysts said they remained open to a three- way link, where BT would retain a stake of about 10 percent in the merged WorldCom- MCI. Many said their ability to assess the situation was limited by the continued silence of BT and MCI and by the ambiguous signals emerging from WorldCom. They were resistant, however, to any suggestion that BT should take early steps to increase its potential holding in WorldCom because of fears that the U.S. company's stock price could not be sustained. The legal move by WorldCom is part of its plan to ensure the deal can be structured as a pooling of interests, rather than an exchange offer, and substantially boost earnings.
