The SEC charges that the company had in effect recently agreed orally with the Teamsters to permit them to organize Levitz employes on condition that the drive would not be announced or commenced until after the proposed stock issue had been completed. Undoubtedly, any labor settlement even one under the 6.6 per cent guidelines of the Wage Control Board, would affect Levitz profits. Despite yesterday's sharp selloff, the Levitz brothers have done well.

In the past three un-derwritings, they sold their own shares in quantities in excess of those offered for the company's benefit $34,000,000 of family stock at current market value against $31,000,000 for the company. They had been struggling for over 35 years in the furniture business, and like everybody else in it, found it a tough go. It was an industry that was widely known as suf-f i from a lack of new' ideas. The brothers, Ralph and Leon Levitz, were bright and innovative by nature and they were impressed by the fact that they always crowded their store when they held their, yearend warehouse sale.

The rest of the year was strictly ho hum. They asked themselves, "Why not run a warehouse sale year-round?" And thus, the Levitz concept pick it out and pack it home was born. Brilliant though it was in its simplicity, it was hardly the kind of 1 i that makes a glamour-conscious Wall Street sit up and take notice. Furniture was a cat and dog business and that's the way Wall Street continued to see it. But then began to make an impression.

The Levitz brothers, in hock to the banks, began visiting Wall Street brokers in the hopes of raising fresh equity capital. It was slow going. The conservative Wall Street-ers who expressed an interest wanted to bring Levitz public in a small way at nine times earnings for-the four -store chain. Then the Levitz situation came to the attention of two smart young men at Bache Co. These two men grasped the significance of the Levitz concept, were impressed with the men behind it, and guessed Levitz was the start of something big, Before the Securities and Exchange Commission announced action last Friday against the Levitz Furniture Corp.

Twenty new outlets with about 170,000 square feet each to be completed in 1972. Raising the $1,700,000 required to build, each outlet appeared to be a mere formality in Wall Street; and the stock had flown through the roof. Lockheed, McDonnell's chief commercial rival, i a statement in Burbank, saying it liked the United-Delta decision because it meant Delta plans to stand by its decision to purchase the TriStars.
