Fairport has been designated as host municipality for the convention and Mayor Henry P. VanHorn of that village will welcome the delegates when the convention opens at 10 a. m. Principal speakers will include G. O.

Wessenauer, power manager for the Tennessee Valley Authority; Harry Barker, consulting engineer of New York City; Dr. John Bauer, director of the American Public Utilities Bureau; Louis Mackler, another consulting engineer; Allen Sisson, radio announcer; B. A. McDonald, electrical superintendent. New York Fire Insurance Rating Organization; C.

G. Archibald, West-Wighouse Electric Company engineer, and Dudley M. Diggs of General Electric Company, 1:30 p. m. Mrs.

Earl E. Hendrick, chairman, will preside. Program plans will be presented, followed by tea in charge of Mrs. Charlee Pritchard, Mrs. Henry Sehm and Mrs.

Ernest C. Purton. A new unit which will meet Thursday evenings at 368 Landing Rd. will have its first meeting Thursday at 7:45 with Mrs. Alfred W.

The grantee of the franchise shall be subject at all times to the following conditions and limitations: The grantee of the franchise shall lav its pipes and mains and construct its manholes, subways, connections and appurtenances in the aforesaid streets, avenues and public places only where, when and as permitted bv the Commissioner of J'nblic Works of the City of Rochester. The grantee of the franchise shall tot open any street surfsce or make anv excavation without first obtaining a permit therefor from the Commissioner of Public Works of the Citv of Rochester, and shall refill nuch excavation and replace all pavements and roadways of every character in as Rood condition as before the excavation and keep the dame in repair for one vear after the same has been so replaced or restored, and the time to be consumed In performing such work, together with the length of time that the trench or trenches may be open at any time shall also be determined and regulated by said Commissioner Public Works. The grantee of said franchise shall pav all reasonable expenses upon demand incurred bv the City for the appointment of an Inspector or inspectors to superintend and inspect nuch excavation and relaying of pavements and roadwavs and for the appointment oi an poectors bv said Commissioner of Public Works to superintend and inspect the construction or repair of said mains, pipes, manholes, sub-wavs. connections and appurtenances.

The grantee of said franchise shall at its own cost furnish to said City anv and all maps, working or other plans, profiles, surveys and drawings made to a scale or otherwise, and all accessible data, figures and information that may be requested bv the Commissioner of Public Works or the City Engineer of the City of Rochester and necessary or deemed to be necessary for anv purpose relating to or in connection with said mains, pipes, manholes, subways, connections or epnurtenances. The grantee of the franchise shall change or move the location of its pipes, mains, manholes, subways, connections or appurtenances when and as required bv ordinance of the Council. The grantee of the franchise shall pav to the Citv annually a sum equal to two per cent of the gross receipts from the sale of steam under this franchise, which shall be in the nature of a tax. The ffrantee of the franchise shall covenant and agree to indemnify and save harmless the City of Rochester, its boards, officers, agents and servants and each and every one of them against and from all suits and actions of every name and description brought against it or them or anv of them and from all damages and costs to which it, they or anv of them mav be put while said mams, pipes, manholes, subways, connections or appurtenances are owned, maintained or operated bv it bv reason of injury to person or persons or property of anv nature resulting from any accident, negligence or carelessness in the performance of said work of constructing, maintaining or equiping. operating or repairing said pipes, mains, manholes, sub-wavs.

connections or appurtenances or from anv improper or defective material, machinery, instrument or appliance used in performing the same, or anv act or omission of said prantee. Said grantee shsll further agree that after final ludgment and after expiration of time to appeal against the City of Rochester or anv of its boards, officers, agents or servants, bv reason of the aforesaid premises, said grantee shall nay to said City or to said boards, officers, agents or servants upon demand the full amount of said ludgment, said grantee shall have notice of all suits, and the right to defend ppon substitution as psrtv defendant. Before the franchise herein authorized and directed to be sold becomes effective the purchaser of the same must deliver to and file with the Comptroller of the City of Rochester a bond in the sum of one hundred thousand dollars which shall be in form and executed in the manner prescribed bv the 'orporat ion Counsel of the Citv of Rochester, shall be rxecuted bv such purchaser as principal and bv a surety corporation or sureties satisfactory to the Comptroller of the Citv of Rochester, which bond shall provide for adequate security for the prompt payment of anv" sum accruing to the Citv of Rochester and for the performance of anv and all obligations under the terms and conditions of the franchise herein authorized and directed to be sold, and shall provide for the securing, bv said purchaser, said fifv of Rochester, its boards, officers agents and servants, well and safely against all claims, suits and actions as hereinbefore provided, and in case of the insolvency or death of any of the sureties upon said bond, the said purchaser upon request of the Comptroller or other proper officer of the City of Rochester shall give a new bond of the same tenor and effect and subject to the same approval aa the bond originally to be given. The grantee of the franchise ahall at all times be subject to reasonable police regulations and ordinances enacted or to be enacted by the Council. The grant shall be subject to the rights if any, of private owners of the beds of the public streets and avenues above named and in the area above described.

Payment to the City above provided shall be deductible from any special franchise tax on the property and premises covered hereby. The franchise to be sold shall be for a period of twenty-five years, beginning on the dav of the approval of the sale price by the Council. The sale price of said franchise must be approved by the Council before the sale takes effect. Dated at Rochester. New York, this 14th day of September, 1945.
