That gives the Federal Trade Commission and its staff time to consider whether the store sales in markets where Staples and Del-ray Beach-based Office Depot compete alleviate antitrust concerns resulting from the proposed merger. On March 10, the FTC voted 4-1 to block the acquisition because it would harm competition in the 18 states and the District of Columbia where the two companies operate stores.

To resolve the FTC's concerns, Westboro, Staples jump-started negotiations to sell stores in overlapping markets to OfficeMax, the only other nationwide operator of office supply superstores. The FTC had held up Shaker Heights, Ohio-based OfficeMax as the only suitable buyer for the stores, executives at Staples and Office Depot have said. The sale will take place only if Staples is able to complete its purchase of Office Depot. Under the definitive agreement, OfficeMax would buy four stores in Baltimore, 14 in Washington, two in Louisville, 14 in Los Angeles, nine in San Diego, nine in TampaSt. Petersburg and 11 others.

Shares of Staples fell 38 cents to $21.63, while the stock of Office Depot declined 25 cents to $21.63.
