That would represent an increase of 41 per cent over last year's figure of 2,975. The increase compares with a rise of 25 per cent in mergers in 1967, 12 per cent in 1966 and 9 percent in 1965. The 1968 estimate also represents a substantial increase in a forecast made only a month ago by the Grimm organization. In early October, Grimm was predicting a total of 4,000 mergers for 1968. At that time, a Grimm survey placed the total value of proposed corporate mergers in the first three quarters of 1968 at $37 billion. The Chicago concern has not predicted an over-all market value of mergers in 1968, but, on the basis of the nine-month figures, it would seem likely that the figure will top $50 billion. The figures could well be inflated above that mark if the recent flurry of merger proposals by giant companies continues. One of the largest corporate consolidations of all time was canceled this week when the Xerox corporation and C.I.T. financial corporation suddenly decided not to merge. The combined companies would have had total assets of $4.2 billion. Other billion-dollar companies involved in current merger proposals include the Sinclair Oil Corporation and Atlantic Richfield Company; Cities Service Company and Marathon Oil Company; U.S. Plywood-Champion Papers, Inc., and Johns-Manville Corporation, and Radio Corporation of America and St. Regis Paper Company. Why is the merger fever running so high in the business world? The answer, in one word, is growth. Corporations increasingly are seeking ways to expand their operations so that their profits will grow and the prices of their stocks will grow. In an interview this week. Fillion of W. T. Grimm noted several other factors that have contributed to the increased interest in mergers and acquisitions. The demonstrated success of many companies that have developed active merger programs has been an important influence on increased merger activity. Fillion believes. "It's sort of like keeping up with the Joneses," hesaid. Fillion also called attention to the general strength in the nation's economy and the high level of stock prices. The result, he said, is that there is "more wherewithwal" available for companies interested in carrying out mergers. "Money is costly, but is available," Fillion declared declared. "Companies also are finding new sources of money in Europe, which is making conventional sources of financing in this country more competitive" in providing funds for acquisition purposes. Fillion also noted the possibility of tighter restrictions in the future by Federal regulatory authorities as a spur to some mergers. Some companies, he said, are trying to get acquisitions accomplished before the merger route becomes a more difficult path to travel. Still another ingredient in the merger picture. Fillion added, is the growing willingness of many corporate managements to consider the possibility Of a "defensive" merger with we company to head off a takeover bid by another company the management regards with less favor. The merger boom also has produced a sharp rise in activity In Wall Street where brokers and investment bankers are involved in such merger mechanics as tender offenders, arranging contacts between possible merger partners and figuring out the arithmetic that goes into every deal. At Lehman Brothers, one of the firms that is heavily involved in merger activity. Stephen M. Dubrul Jr., a partner who specializes in acquisitions and mergers, reports that current activity is running at twice the level of recent years. Dubril suggested that an important factor contributing to the surge in mergers is the increasing sophistication of corporate managers and their growing emphasis on long-range corporate planning. The result, he added, is that companies frequently decide they must expand into other fields to achieve growth and settle on acquisitions and mergers as a way to do this. The Lehman partner also noted that shifting trends in a company's earnings or position in an industry are conducive to the acceptance of merger possibilities. "Many corporations are slow to catch up on trends," he said. "All of a sudden, they see companies like I.T.&T. making many acquisitions and winning attention and they get envious. They accept merger and acquisitions as a method of attracting attention and winning a higher price-earnings ratio for their stock."
