THE SALINA JOURNAL Money WEDNESDAY, MAY 20, 1998 C3 r?' *' t < T BANK MERGER Leawood bank buys northwest Kansas firm By The Associated Press LEAWOOD — Gold Bane has reached a merger agreement to acquire Northwest Bancshares Inc. and its subsidiary, People State Bank of Colby, the company announced Tuesday. The agreement is a tax-free stock swap valued at $2.95 million. Peoples State Bank had total assets of $21.4 million, deposits of $19.3 million and net loans of $16.4 million on March 31. The stock swap is fixed at 28 shares of Gold Bane common stock per share of Northwest Bancshares common stock, Gold Bane Executive vice President Keith Bouchey said. Northwest stock is not publicly traded. Its shareholders will receive a total of 210,000 Gold Bane shares under the agreement. The transaction is expected to close in the third quarter of 1998. It must first be approved by shareholders of Northwest Bancshares and federal regulatory agencies. The Northwest Bancshares merger, plus the pending acquisitions of Farmers State Bank of Sabetha and Tri-County National Bank of Washington, are predicted to boost Gold Bane's assets to $676.1 million, its deposits to $557.6 million and its net loans to $434.2 million. Gold Bane owns and operates Exchange National Bank in Leawood, Shawnee and Marysville; Citizens State bank and Trust Company in Seneca; Peoples National Bank in Clay Center; Farmers National Bank in Oberlin; The First National Bank in Alma; and Provident Bank in St. Joseph, Mo. V INTEREST RATES, Fed opts to leave interest rates steady Farmland, ConAgra form alliance Asian turmoil, American moderation lead Fed to stand pat on rates By The Associated Press WASHINGTON — With Asia's economy still unsettled and American growth appearing to moderate, the Federal Reserve once again opted for no change in short-term interest rates. The central bank's monetary policy panel — the Federal Open Market Committee — concluded a 4 J /2-hour private meeting Tuesday by leaving the benchmark rate on overnight loans between banks at 5.5 percent. The decision was widely anticipated, and financial markets had little reaction. After losing 160 points over the previous three sessions, the Dow Jones industrial average rose 4 points to 9,055. The Fed hasn't touched rates since March 1997, when policy-makers nudged the benchmark rate a quarter percentage point higher, expressing concern that the strong economic demand at the time would result in increased inflation. The economy's robust growth has continued, accelerating in the first three months of this year to a rapid 4.2 percent annual rate. That suggests rates may need to move higher to rein in growth to a pace that would keep inflation contained. Several Fed officials, led by board member Laurence Meyer, have said as much in recent weeks. On the other hand, inflation has remained very contained, hints of moderation ahead have surfaced in the U.S. economy and Asia remains fragile. Higher interest rates in the United States would give nervous investors an additional incentive to transfer their money from Asia into dollar-denominated securities. By The Associated Press KANSAS CITY, Mo. — Farmland Industries Inc., the nation's largest farmer-owned cooperative, announced Tuesday it is forming a grain marketing and service alliance with ConAgra Inc. ConAgra, based in Omaha, Neb., is the country's largest independent food company. "This development reflects the new market-driven grain business," said Harry Cleberg, Farmland president and chief executive officer. "We must now be prepared to deliver precisely what the global grain consumer wants in order to strengthen our members' grain business for the long term." The alliance will allow each company to use the other's export facilities. It creates one new company, Concourse Grain, which will market all Farmland wheat and some ConAgra wheat. Farmland will also buy 50 percent of ConAgra's Atwood-Kellogg subsidiary, which will be renamed Farmland-Atwood.
