Henry C. Ulen, Cliairman of the Board of Directors of the Company, in connection with this offering: assets reflecting completion of this financing, is estimated at about $28 a share on the 255,329 shares of Common Stock to be outstanding in the liands of the public. During the past fifteen years the business of the Company and its predecessors has never failed to show a profit in any year. Gross Revenues of the Company for the calendar year ending December 31, 1928 (adjusted to include discount accrual on bonds owned amounting to lolJGO), as certified by Messrs. Haskins Sells, amounted to $2,657,857.

The balance available for Common dividends was $824,084, or $3.65 per share on 225,329 shares of Common Stock then outstanding. A large current volume of profitable business is being handled and the earnings, as reported by the Company, for the first six months of 1929 amounted to $439,790 or $1.95 per share on this stock. The business of the organization is conducted under the supervision of its founder, Henry C. Ulen, by men of many years' experience in this specialized work. Since 1914 the Stone Webster organization has owned a substantial interest in this business.

Ulen Company was incorporated in February, 1922, under the laws of the State of Delaware for the purpose of continuing under the same management the business, that has been successfully conducted by the Ulen Contracting Corporation and its predecessor, the Ulen. Contracting Company, founded in 1900 by Henry C. Ulen. The Company's business consists of planning and constructing public works in the United States and foreign countries. The Company is not a contracting concern in the ordinary sense but derives its profits from fees, in cash andor bonds, received for planning, financing and directing construction work, thereby eliminating the risks which are ordinarily assumed by a contracting concern in bidding for work on the usual fixed sum or unit price basis.

As a direct result of construction work on certain public utilities, the Company, through Ulen Management Company, a wholly owned subsidiary, now, manages and operates some of these properties.
