James D. Massey, president and chief officer of Merchants National said larger mergers won't be possible unless sellers lower their expectations or stock prices get higher. "Our most recent acquisitions were basically fill-ins to markets," he said. "Those were smaller deals that we could do for cash vs. stock." Massey said that with high seller expectations and a low stock market.

Merchants cannot accomplish a stock transactions without diluting shareholders' interest. "We're just not going to do It," he said. Massey said Merchants has made more acquisitions In Indiana than any other banking company, in terms of number of institutions. But he agreed that in 1992 Merchants and other large Indiana banks could be on the buy list of other even-larger banks. "I'm not predicting that we'll all be gone to outside ownership," he said.

"I'd like that not to happen.
