AUGUST 51,1965 ALTON EVENING TELEGRAPH DEAR CY: What's all the hullabaloo about stockholders suing corporations? I hear a committee of stock-holders is suing Texas Gulf Sulphur for losses they claim to have suffered due to management messing up news releases regarding the firm's big mineral strike. My mother has some of this stock and wonders if a stockholders' committee is working in her interest. How does the S.E.C. figure in on this deal? WAYLAND DEAR WAYLAND: At this moment, there are about 20 lawsuits relative to the Texas Gulf Sulphur case which are being consolidated in New York for a hearing. Plaintiffs claim the way management released information on the big ore discoveries produced some rather bizarre profits and losses.

II is alleged top brass gained personally through purchases of stock and various options shoot of the commission's complaint. Regardless of which way the verdict goes, a lot of precedent will be set for future utterances of management. High company brass won't gush when someone asks, "And so. what's new?" On April 19, the Securities and Exchange com mission filed a complaint against certain officers of the firm. It stated, in part: "The complaint charges that Texas Gulf issued a false and misleading press release concerning its mining activities in Timmons (Ontario) on April 13, 1964, and issued a subsequent release on April 16, 1964, which for the first time disclosed to the public the existence of a rich copper and zinc ore body.

The complaint further alleges that certain of the de- fendents purchased Texas Gulf stock after the issuance of the false press release and prior to the public dissemination of the second release." Although the action involved the commission, it was felt by some that the S.E.C.'s move could be used as a basis for stockholder suits, according to previous action of the courts. This case has received a lot of notoriety and stockholder suits are an off- paper. DEAR CY: I need your advice on some very important things. Where can I get information on greenhouses to sell? And college costs seem to grow even faster than children do. The solution? Savings, loans, scholarships, or maybe junior helping out by getting a part- time job? The nation will be spending billion this year for educating 54 million persons, from kindergarten through graduate schools, the U.S. Office of Education estimates.
