Jacor officials have previously said a news-talk-sports format is the most viable format for AM radio, which has been steadily losing listeners to FM radio for years. FM stations typically have better sound quality for broadcasting music, although a clear AM signal can cover a much larger area.

Jacor owns three AM stations with a news-talk-sports format: WGST in Atlanta; recently acquired KOA in Denver; and WLW, the top-ranked station in Cincinnati according to the latest Arbitron ratings. and-over audience is an affluent audience that advertisers should be interested in reaching. "An enterprise such as WBBG is a specialized broadcasting opportunity best left to an owner with a unique interest in that format," said Frank E. Wood, Jacor's president and chief operating officer, in a prepared statement announcing the sale. WBBG is a station with a 3.7 overall audience share in the Fall 1986 Arbitron ratings.

It was ranked 10th out of 24 stations in the Cleveland market. Earlier this year, Jacor had said it was very close to an agreement to buy WWWE-AM, a news-talk-sports station in Cleveland. That deal would have necessi THE CINCINNATI ENQUIRER Jacor Communications Inc. has agreed to sell WBBG-AM in Cleveland, a big-band format radio station which apparently does not fit into Jacor's growth strategy. Larry Robinson, one of the station's former owners who sold WBBG and WMJI-FM to Jacor in 1984 for $13.2 million, has agreed to buy back WBBG for an undisclosed price.

Jacor will keep WMJI. "I couldn't be happier than to be reinvolved with WBBG," he said. Robinson said he is buying the station to preserve its big-band format. "It's very important to me. The music means so much to me.

Based on TWA's 30 million common shares outstanding, the transaction has an indicated value of about $762 million, not counting the unstated value of the stock and securities Icahn would receive. Company officials said both portions of the deal would have an indicated value of $40 a share, giving the deal a face value of up to $1.2 billion, but noted the market value of the securities included in the swap could be lower. The merger would require approval from regulators, a committee of TWA independent directors and from a majority of shareholders not affiliated with Icahn. TWA stated its annual meeting, set for Aug. 6, would be rescheduled.

BY BILL MENEZES The Associated Press NEW YORK Chairman Carl C. Icahn has proposed a plan to take Trans World Airlines Inc. private, TWA announced Wednesday, completing a takeover that stalled after Icahn gained control of the company nearly two years ago. Icahn, who controls 73 of TWA's outstanding common stock, proposed merging TWA with a newly formed private company, in which he would own 90 of the stock. An employee stock fund would hold the rest.

The new company would swap each of the 8.1 million TWA common shares Icahn does not control for $20 in cash and securities with a face value of $20 each. In return, GE will receive Thomson's medical equipment business and an undisclosed amount of cash, the companies announced jointly. "The transaction will benefit both companies because it strengthens businesses that are central to the strategic plans of each company," the companies said. The transaction was one of the most dramatic moves yet in Chairman John Welch's campaign to get rid of every business in which the 109-year-old company does not earn at least 15 or more in return on assets; stand in first or second place worldwide; or have a good chance of reaching those standards. GE has made 14 major acquisitions during the last six years, including its $6.4 billion acquisition of RCA in December 1985. But since 1981 it has also disposed of 11 major businesses and at least 222 smaller ones.

has become BP America, marking an identity change that is part of the British Petroleum Co. PLC. restructuring of its United States holdings. BP took full control of Standard Oil this year by acquiring minority shares, or about 45 of the company, in a deal worth about $7.8 billion. BP had already owned 55 of Standard Oil shares.

BP Chairman Sir Peter Walters said the company plans to issue new ordinary shares to raise approximately $2.4 billion. The issue, subject to approval of shareholders, will occur in conjunction with the anticipated British government sale of its 31.7 holding in BP. "It's hard to disassociate the opportunity of the government sale from what we hope to build, up longer term," Walters said. "I think the government sale gives us a very good, initial opportunity both of getting a place on the Japanese market and to improve the holding that we've built up particularly in the last year in the United States." A year ago, only 1 of BP stock was held by Americans, Walters said. "Today it's about 6, and we've put a lot of effort into building it up," he said.

"There will be a much greater effort, combined v-'i'h government's share sale, of widening knowledge of BP. "It's hard to say what will be the optimum. If we build up the 6 in the States to 15, I think that would be a positive step, and anything up to 10 in Japan I think would be an achievable objective over the next year or two." BP America's financial results will be reported as part of BP's financial statements, Walters said. But he said for marketing purposes in the United States, the Standard Oil identity will be maintained informally. "I would like to think we're here and accepted, whether the people think of us as BP or as Standard," Walters said.

The company's Cleveland headquarters building will carry both the BP America and Standard Oil names. Robert Horton, who had been Standard Oil chairman, will become BP America's vice chairman and chief operating officer. "When I was BP's chief financial officer, I was very keen about making sure we had complete financial disclosure in our annual reports," Horton said. "That meant geographical breakdowns, business breakdowns and that sort of thing," adding he anticipates BP America's results to be clearly reported. Walters said BP America will be responsible for all of BP's corporate activity in the United States.
