In a telephone interview from London, Bernard Cornfeld, who founded IOS but ousted from control during the company's well-publicized troubles last year, confirmed reports that certain preferred shareholders of IOS are considering mounting a takeover battle at the IOS annual meeting in Toronto June 30. Such an effort would seek to frustrate the plans of the present IOS chairman, Robert L. Vesco, to consolidate control over IOS by himself and his Fairfield, N.J., concern, Liter- national Controls Corp.

''The ballgame isn't over Cornfeld declared, noting that while International Controls currently has about 7 million or 17 per cent, of the 40.4 million IOS preferred shares outstanding, the shareholders who have expressed an interest in a takeover try hold more than that. He didn't specify the size of their holdings or reveal their names, but it is believed the list would include some present or former IOS executives, salesmen and managers still loyal to Cornfeld. At the IOS annual meeting, the holders of preferred stock will be entitled to elect two- thirds of the directors to serve for the ensuing year. Holders of the 15.9 million IOS common shares outstanding will elect tiie remaining members of the board. Cornfeld, who said he plans to attend the Toronto meeting, acknowledged that he no longer owns any IOS preferred stock, although he does own 200,000 common shares.
