The ratings also showed religious programs don't always fare poorly with viewers.

ABC's "The Story of Jacob and Joseph" special came in fifth out of 62 evening programs rated. WRIGHT New York Times Service LOS ANGELES The Twentieth Century Fox Film Corp. has turned down the request of David Merrick, the Broadway producer and the company's largest stockholder, for representation on the board, it was learned. The action, for the time being at least, seems to rule out a role for Merrick in Fox management, The annual meeting Is scheduled for May 21 here. Merrick now controls slightly less than 10 per cent of the stock, and those who control or influence other large blocks of stock have Indicated support of management or lack of interest in control.

Merrick told the Securities and Exchange Commission last month he had no present plans for a proxy contest. But he indicated he might increase his stock holdings and fight for control later if he did not get board representation. Based on the usual criteria, Fox would not seem to be the likely prospect for a proxy contest that it was in 1971 when the company was In disastrous financial shape. Fox had losses of $36.8 million in 1969 and $77.4 million Fox's are selling at lower price earning ratios. Merrick, who Is in Lodon was unavailable for comment, but it is widely believed he seeks a voice in Fox to facilitate his plans to produce more motion pictures.

With a long string of Broadway successes, he has produced through the Paramount Pictures subsidiary of the Gulf 4 Western Corp. two motion pictures "Child's Play" and "The Great Gatsby" neither critical successes. He has a contract with Fox to produce his Broadway musical "Promises, Promises" as a filn. and has proposed to negotiate with Fox for several other productions. These deals were cited by Stanfill in a letter to Merrick as the reason the Fox directors considered It "inappropriate at this time" to grant the request for board representation.

Presumably, with his nominees on the board or with control of Fox, Merrick would not have to negotiate over which pictures could be produced, under what financial terms or how they would be promoted. During March, Merrick purchased 633.600 shares of Fox, bringing his total holdings to 747,900 of the compa-ny's outstanding common glf w. Will 111 From 7 P.M. Stanfill, who took over as chairman and chief executive in 1971, and Gordon Stulberg, president and chief operating officer, Fox has been profitable for three successive years, $125 million in debt has been eliminated and the regularly quarterly cash dividend -halted in 1969 was restored last June. The balance sheet at the end of last year showed cash and short term marketable securities totaling $20.8 million. The stock, selling on the New York Stock Exchange at about eight times earnings, may be undervalued by such measures as book value ($11.25) but so many stocks are these days.
