On approval by the stockholders the new stock will be exchanged for the old on the basis of ten shares of new for one share of old. It Is proposed to pay 30c a quarter regularly on the new stock and probably two extras of 65c, which would return 82. 50 a year a share on the new stock.

The present stock has been paying $3 quarterly and In July paid an extra of JS.50 which, If It had been declared again In December, would have been $25 for the year. The present stock last year paid $22, being on a $3 quarterly basis, with two extras of $5. The last over-the-counter sale on Mrlghton Bank stock reported was ut 1755, with $790 reported bid and W2b linked. The stock is not listed. A disconcerting rumor to the effect that Secretary of the Treasury Mellon contemplated resigning encouraged short operations, but the fact that the rumor also mentioned Dwlght Morrow as his successor was believed to be encouraging. A change of this sort would leave nothing to be desired. Again the "Chicago situation" has become unsettled. In the spring the sharp decline in wheat prices proved an adverse factor and now the sharp decline in the "Insul utilities" has caused some traders who look with disfavor on unexpected developments of this kind of stock. More than once the collapse of an over-exploited Issue has caused heavy selling throughout the list.

During the market session considerable amount of speculation was had over the possibility of an Increase In the Bank of England rediscount rate. This long has been overhanging the market here and final disposition either way will clear up a rather Important market factor. Beech-Nut Wall Street now hears that a merger between Beech-Nut Packing and California Packing Is pending. However. In well-Informed quarters not much credence given the report.

Stock of Beech-Nut Packing Is rather closely held and the management in the past has frowned upon offers for control. Beech-Nut long has enjoyed stable earning power and Its products have been widely advertised and are well known throughout the country. Some people maintain that present management will not consent to company being taken over by any other organization. The logical move to them appears to be absorption of other units by Beech-Nut. Nothing official along this line has been forthcoming.
