Thereafter any Preferred Stock not so exchanged may be retired by the company on any dividend date upon payment of $22.60 per share plus any accumulated dividends due thereon. 4 LOCATION OF PLANT The company has leased, for a four-year term, with privilege of purchase, a portion of the Industrial Nitrate Company plant at Ancor (Newtown), Ohio. This property consists ot approximately 120 acres of groundideal both in topographical location and lay-out, for the necessary landing and testing field required.

In addition, it contains, at the present time, four large one-story concrete steel buildings erected by the United States Government during the late war. HISTORY The history of the International Aircraft Corporation dates back to 1909, when its existence began under the supervision of Edwin M. Fisk, now acting in the capacity of Chief Engineer for the organisation. At that time Mr. Fisk started the construction of his first airplane, this being a monoplane.

Since then various types of commercial aircraft have been turned out under his supervision, ranging from monoplanes to triplanes, and from single-motored to trl-motored aircraft In February. 1927,, this concern was reorganized under the name of International Aircraft Corporation. The new organization began its career at Long Beach, California, in modest quarters, with only four men in its employ and few orders for airplanes. Armed with but little in a material sense, but with the all-important knowledge and experience of years of aircraft construction and engineering and confidence in the future of aeronautics, the International Aircraft Corporation "hooped off for nonstop flight in the industrial heavens. The position of the company at present as an engineering company is excellent and it is one of the largest manufac-' tureys of commercial planes in America.

Current Operations and Estimated Earnings Distributing and sales agencies are located at Cincinnati, Seattle, Angeles, and Dallas Texas With the increased production facilities at its new Ancor plant, similar distributing agencies will be rapidly opened throughout the balance of the United States and in foreign countries as well. At the present time the International Corporation is producing an average of from two to three planes per week and has unfilled orders on its books considerably larger than at any time before in its history, and every indication points to a continuation of the recent rapid expansion in the aeroplane industry; and in view of International's position in the industry it should receive a full share of the increased business. At present the company is manufacturing two models, one of these a three-passenger commercial combination sport model, the other a seven-passenger air coach. Designs are complete for a twenty-two passenger air-liner and it is hoped that we will turn out the first of these ships Borne time this fall. Based on the present minimum production of two planes 1 per week, earnings should be sufficient to cover the dividend requirements on the total outstanding preferred stock approximately one and one-half times, and it is the expectation of the management to increase its production to ten planes per week by August 1st of this year, and by fall should be turning out a minimum'of two planes per day.
